ZJX End User License Agreement
Version 1.0 — published 4 October 2026
This End User License Agreement (the "Agreement") is between you and Greyforge Labs, a sole proprietorship based in the United States ("Greyforge Labs", "we", "us" or "our"). It covers ZJX Basic and the paid editions of ZJX distributed from https://zjx.app.
Please read it before you install or use ZJX. The sections that matter most are Section 10 (what update checks reveal), Section 12 (information in paid builds and archives that identifies a license), Sections 19 to 21 (warranties, liability and data loss) and Section 24 (governing law and courts). Sections 19 and 20 are in capital letters so they stand out.
Key points
This summary is for convenience only. The numbered sections below are the agreement.
- ZJX Basic is free for personal use and eligible organizations; commercial terms apply. Eligible means individuals for personal use, accredited schools, nonprofits, and organizations under USD 100,000 in consolidated annual revenue. Larger organizations and government bodies need a commercial license (such as Mythic or Legend) to create archives.
- Opening, listing, testing and extracting ZJX archives is free for everyone, including businesses and government, and always stays free (Section 4).
- Pro, Ultra and Mythic are one-time purchases. They do not expire and include every future update to the edition you bought, for as long as we offer that edition. Mythic is licensed per seat. Legend terms are agreed in writing.
- You own your archives and your data. ZJX has no telemetry and no activation server.
- Update checks reveal your IP address, edition, version and platform and, for paid editions, your license identifier. You can turn them off (Section 10.2).
- Paid builds are stamped with a license identifier, and archives they create carry a certificate that identifies the license (Section 12).
- Revoked keys: refunded, charged-back, leaked or fraudulent keys stop unlocking a paid edition once an update containing the revocation list is installed. There is no remote kill switch (Section 12).
- 30-day money-back guarantee on Pro, Ultra and Mythic. A refund ends the license.
- Our liability is limited (Sections 19 to 21). The Software is provided "as is", and our total liability is capped at what you paid for the license or USD 50, whichever is greater, except where the law does not allow it.
- Delaware law and courts apply, but consumers keep the protection of their home law and courts (Sections 23 and 24).
- Keep backups of anything you can't afford to lose, and test archives before deleting originals.
1. Definitions
In this Agreement:
- "Software" means the ZJX desktop application, command-line tools and engine in the editions listed in Section 3, in executable (binary) form, as distributed by us from zjx.app or another channel we designate, together with its documentation and any Updates. "Software" does not include Third-Party Components (Section 16) or the Prior Releases described in Section 1.17.
- "Edition" means ZJX Basic ("Basic"), ZJX Pro ("Pro"), ZJX Ultra ("Ultra"), ZJX Mythic ("Mythic") or ZJX Legend ("Legend"). "Paid Edition" means Pro, Ultra, Mythic or Legend.
- "You" means the individual who accepts this Agreement. If you accept it for an Organization, "you" also means that Organization, and you confirm you have authority to bind it.
- "Organization" means any company, partnership, sole proprietorship or self-employed business, association, trust, institution, Government Body, or other entity, together with its Affiliates.
- "Affiliate" means any entity that controls, is controlled by, or is under common control with another entity, including common control by the same individual or group of individuals acting together. "Control" means owning more than 50% of the voting interests of an entity, or having the power to direct its management and policies, by contract or otherwise.
- "Personal Use" means use by an individual for their own personal, non-commercial purposes, and not for or on behalf of an Organization. Personal Use is allowed whoever your employer is.
- "Annual Revenue" means the total gross revenue, from all sources and before any deductions, of an Organization and all of its Affiliates combined, for the most recently completed fiscal year, as recognized under the accounting principles the Organization normally uses. Revenue in other currencies is converted to US dollars at the average exchange rate for that fiscal year published by a reputable public source (for example, the yearly average rates published by the US Internal Revenue Service). If an Organization has not yet completed a fiscal year, Annual Revenue means a reasonable, good-faith estimate of its gross revenue (with its Affiliates) for its first full fiscal year. Annual Revenue does not include equity investment, loan proceeds or capital contributions. For a sole proprietorship or self-employed business, it means the gross receipts of the business only, not the individual's employment wages or personal investment income. Grants and donations count as revenue unless the Organization is a Nonprofit.
- "Revenue Threshold" means USD 100,000 of Annual Revenue.
- "Small Organization" means an Organization whose Annual Revenue is below the Revenue Threshold and which is not a Government Body.
- "Educational Institution" means a school, college, university or other educational institution that is accredited by an accrediting body recognized in its country, or that is authorized by a government to award recognized diplomas, certificates or degrees. This includes public (state-run) institutions.
- "Nonprofit" means an Organization that is legally formed and operated on a not-for-profit basis and that is recognized under the law of its country as exempt from income tax as a charitable, educational, religious, scientific or similar public-benefit organization (for example, a US organization exempt under Section 501(c)(3) of the Internal Revenue Code, or a registered charity). Organizations exempt only as social welfare organizations, labor organizations, trade associations, business leagues, social clubs or political organizations (for example, under Section 501(c)(4), (5), (6) or (7) or Section 527 of the Internal Revenue Code) are Nonprofits only if they are also Small Organizations. An entity controlled by a for-profit Organization or by a Government Body is not a Nonprofit.
- "Government Body" means any national, federal, state, provincial, regional, local or municipal government; any of their departments, agencies, ministries, courts, legislatures, armed forces, public authorities or instrumentalities; any intergovernmental or international organization; and any entity controlled by any of them, including state-owned or state-controlled companies, utilities and hospitals. Educational Institutions are not Government Bodies for purposes of this Agreement.
- "Eligible User" means (a) an individual engaged in Personal Use, (b) a Small Organization, (c) an Educational Institution, or (d) a Nonprofit.
- "Commercial License" means a Mythic seat, a Legend agreement, or another written commercial grant we issue that expressly covers archive creation for an Organization.
- "Archive" means a file in the ZJX archive format (normally with the
.zjxextension), and "create" an Archive means producing a new Archive with the Software. - "License Key" means the digitally signed license file we issue for a Paid Edition, which identifies the licensee, the Edition and, for Mythic, the number of seats.
- "Prior Releases" means the ZJX 1.29 command-line engine and any other ZJX release we previously distributed under a different license (including PolyForm Noncommercial 1.0.0). Prior Releases stay under the license they were released under (Section 17).
- "Update" means a patch, fix, improvement or new version of an Edition that we choose to make available.
2. Accepting this Agreement
- You accept this Agreement by clicking "I agree" (or a similarly labeled control) when you buy a Paid Edition, when the installer presents it, or when you first run the Software. If the Software was installed without such a prompt (for example, by a package manager or a script), you accept this Agreement by using the Software after it was made available to you together with a notice linking to this Agreement. If you do not agree, do not install or use the Software. If you bought a Paid Edition and do not agree, you may ask for a refund under Section 15.5.
- You must be old enough to enter into a binding contract where you live, or have the consent of a parent or guardian who agrees to this Agreement for you.
- If you accept for an Organization, you confirm that you are authorized to do so. The Organization is then responsible for its own compliance and for the compliance of everyone it allows to use the Software.
- Automatic installation of an Update is not acceptance of a new version of this Agreement. Section 30 governs new versions.
3. License grants by Edition
The Software is licensed, not sold. Subject to this Agreement, we grant you a non-exclusive, non-transferable (except as Section 27 allows), non-sublicensable, worldwide license to install and use the Edition you are entitled to, as described below. Each Edition's features are those described in its documentation.
Each license in this Section is granted only within the scope, and on the conditions, stated for it. Use outside that scope, including creating Archives for an Organization that needs a Commercial License without one, is not licensed.
3.1 ZJX Basic
- Eligible Users. If you are an Eligible User, you may install and use Basic on any number of devices, free of
charge, for any lawful purpose, including creating Archives.
- An individual may use Basic for Personal Use whatever their employer's size.
- A Small Organization may use Basic in its business. A self-employed individual or freelancer whose business is a Small Organization may create Archives for clients of any size.
- An Educational Institution may use Basic for teaching, learning, research and its own administration, including use by its staff and enrolled students.
- A Nonprofit may use Basic for its own operations and charitable purposes.
- Organizations that need a Commercial License. An Organization that is not an Eligible User (an Organization at or above the Revenue Threshold, or a Government Body) may create Archives with Basic only under a Commercial License, and only by the people that Commercial License covers. Without one, it may still use Basic to open, list, test and extract Archives under Section 4.
- Whose use it is. Use by an individual acting as an employee, officer or staff member of an Organization, or on devices or systems an Organization controls, for that Organization's operations, is that Organization's use.
- Checking eligibility. You decide in good faith whether you are eligible. The Software does not monitor your revenue or your identity. We may ask an Organization to confirm its eligibility in writing.
- Crossing the threshold. Eligibility is assessed for each fiscal year. If a Small Organization reaches the Revenue Threshold (for example, after a fiscal year ends or after it becomes an Affiliate of a larger Organization), it has 90 days to obtain a Commercial License or stop creating Archives with Basic, Pro or Ultra for that Organization. Archives created while it was eligible remain lawfully created and remain its property.
- Redistributing Basic. You may copy and share authentic, unmodified Basic installation packages exactly as we distribute them, with all notices, license files and the NOTICE file intact, free of charge. You may not charge a fee for Basic itself, modify or rebrand it, present it as your own product, or bundle or embed it in a product or service you sell. Embedding and commercial redistribution require Legend (Section 3.5). Packaging Basic for an operating-system package repository is permitted only through the channels we list on zjx.app, or with our written permission, and only if the binaries are unmodified and the notices are intact. Anyone who receives Basic from you receives it under this Agreement, directly from us.
3.2 ZJX Pro and ZJX Ultra
- Who is licensed. A Pro or Ultra license is granted to one named individual: the person named in the License Key.
- Devices. That individual may install and use the Edition on any number of devices that they own or control. Only that individual may use it.
- Purposes. The licensee may use Pro or Ultra for Personal Use, and for the work of any Eligible User they belong to or run, including their own Small Organization business. Pro and Ultra are not a Commercial License: an individual may not use them to create Archives for an Organization that needs a Commercial License (Section 3.1.2). That Organization needs Mythic or Legend. Creating Archives as part of work your own Eligible business does for clients is use by your business, not by the client, unless you do it as the client's staff or on systems the client controls (Section 3.1.3).
- Pro adds creation of encrypted Archives to Basic.
- Ultra adds everything in Pro, plus Maximum mode (our private maximum-ratio compression strategies) and access to an early-access channel. Early-access builds are pre-release software: they may be less stable, may change or be withdrawn, and are covered by Sections 19 to 21 like everything else.
- Pro and Ultra may not be redistributed. Each copy is made for its buyer (Section 12).
3.3 ZJX Mythic
Mythic includes everything in Ultra (Section 3.2), plus the rights and features below.
- Who is licensed. Mythic is licensed to an Organization on a per-seat basis. Each seat is assigned to one named individual user (an employee, officer or individual contractor of the Organization or of an Affiliate the purchase covers). A seat cannot be shared, pooled or used by more than one person.
- Scope. Mythic is a Commercial License of any Organization size, including Government Bodies. Each seat holder may use Mythic, and any lower Edition, to create Archives for the Organization, on any number of devices and servers that the Organization controls.
- Automation. Mythic includes batch and automation features. A seat holder may set up unattended or scheduled jobs on the Organization's systems that run under their seat and for which they are responsible. Automation may not be used to give people who do not hold a seat the ability to create Archives (for example, by exposing archive creation as a shared internal service), unless your Mythic order or a written agreement says otherwise. A person "creates" an Archive if they choose or initiate its creation, including by triggering a job on demand. A scheduled job that a seat holder configures, and that people without a seat cannot trigger or configure, runs under that seat.
- Reassigning seats. You may reassign a seat permanently to a different named individual, for example when someone leaves or changes role. You may not reassign seats to rotate one license among several people.
- Volume keys. A Mythic License Key may cover several seats. You are responsible for keeping it confidential within the Organization and for keeping an accurate list of current seat holders, which you will provide to us on reasonable written request, no more than once in any 12-month period.
- Integrity reports. Integrity reports produced by Mythic describe what the Software checked at the time it ran. They are technical information, not an audit opinion, certification or guarantee about the contents of any Archive.
- Invoices, purchase orders and support. Mythic may be bought by invoice or purchase order where we agree. The pre-printed terms of a purchase order do not change this Agreement. Mythic includes priority support as described at purchase. Priority support is a commitment to prioritize your requests; it is not a service-level agreement with guaranteed response or resolution times.
3.4 Other written commercial grants
We may also issue an Organization a written commercial grant covering Basic, or other custom terms. Such a grant applies together with this Agreement and prevails where it differs.
3.5 ZJX Legend
Legend is available only under a separate written agreement signed by you and us. Legend may cover rights that no other Edition includes, such as embedding ZJX in your products, OEM distribution and redistribution, compression tuned on your data, source-code escrow, a service-level agreement and custom builds. Where your Legend agreement differs from this Agreement, the Legend agreement prevails. Otherwise this Agreement applies to Legend builds.
4. Free extraction for everyone
Whatever your Edition, eligibility or organization (including Organizations above the Revenue Threshold and Government Bodies), you may, free of charge and without a License Key:
- install and use ZJX Basic to open, list, test and extract Archives, including Archives created by any Paid Edition and password-protected Archives you are entitled to open; and
- extract any other archive format the Software supports.
Archives created with newer features (such as Ultra's Maximum mode) may require a sufficiently recent version of the Software to open. This right does not include embedding the Software in another product, operating it as a service for others, or redistributing it beyond Section 3.1.6.
Our policy is that new versions of ZJX continue to open Archives created by earlier versions. If that ever has to change, we will announce it in advance and provide a way to recover your files. This is a statement of our policy, not a warranty.
5. Restrictions
Except as this Agreement (including Sections 6.3 and 16) or applicable law expressly allows, you may not:
- copy the Software, except as needed to install and use it as licensed and to make reasonable backup copies;
- modify, translate, adapt or create derivative works of the Software;
- sell, rent, lease, lend, sublicense or otherwise transfer the Software, except as Section 3.1.6 or Section 27 allows;
- make the Software, or archive creation with it, available to third parties as a hosted, online or managed service (for example, compression-as-a-service), unless your Legend agreement allows it;
- share, publish or transfer a License Key or a Paid Edition build, or let anyone use it beyond your license scope;
- remove, alter or obscure any watermark, license identity, copyright, trademark or other notice in the Software; or alter or forge any certificate or producer information that the Software writes into an Archive in order to misrepresent which license or software created it or to evade license enforcement. You may otherwise copy, re-pack, convert or remove metadata from your own Archives;
- circumvent, disable or interfere with license checks, License Keys, the revocation list, edition limits or update-authentication features, or create, distribute or use key generators, patched builds or similar tools. This does not apply to modifying, replacing or relinking an LGPL-licensed Third-Party Component as Section 6.3 allows, and a build changed only in that way is not a "patched build";
- reverse engineer the Software, except as Section 6 allows;
- use the Software in violation of any law, including export control and sanctions laws (Section 22); or
- use our trademarks except as Section 13 allows.
You may run benchmarks on the Software and publish your results.
6. Reverse engineering, and what the law and open-source licenses allow
- You may not reverse engineer, decompile, disassemble or otherwise attempt to derive the source code, algorithms, internal structure or our unpublished implementation of the file format, except to the extent that applicable law expressly permits it despite this restriction.
- Interoperability and statutory rights. Nothing in this Agreement limits rights that the law gives you and that cannot be excluded by contract. For example, where the law of your country permits decompilation to obtain information needed to make an independently created program interoperate with other programs (such as under Article 6 of EU Directive 2009/24/EC or the equivalent UK law), you may do so within the limits of that law. Before doing so, please ask us at hello@zjx.app whether we can provide the information you need.
- Open-source components. This Section does not restrict anything a Third-Party Component's license permits. In particular, for any component licensed under the GNU Lesser General Public License (LGPL), you may modify that component, replace it with a modified version, and reverse engineer the Software as needed to debug such modifications, as the LGPL provides.
- Security reports. If you find a security vulnerability, please report it to hello@zjx.app. This invitation does not expand the rights in this Section.
7. Ownership
- The Software, including its code, compression strategies and documentation, and all copies, is owned by Greyforge Labs or its licensors and is protected by copyright, trade secret and other laws. This Agreement does not claim rights in ideas, methods or functional elements that the law does not protect. We reserve all rights not expressly granted in this Agreement.
- No source code of the Software is licensed or provided under this Agreement, and the Software is distributed in binary form only. Source code of Third-Party Components is made available where their licenses require it, as described in the NOTICE file (Section 16).
8. Your archives and your data
- You own your Archives and your data. We claim no ownership of, or license to, the files you compress, the Archives you create, or their contents. No fee or royalty attaches to Archives you create or share.
- We do not receive your files. The Software works on your devices and does not send your files, Archive contents or file names to us.
- You are responsible for having the rights you need in the content you compress, encrypt or share, and for complying with the law when you do.
9. Feedback
If you send us suggestions, ideas or other feedback about ZJX, you agree that we may use it for any purpose without obligation or payment to you. You are not required to send feedback. This does not give us any rights in your files or Archives.
10. Privacy and no telemetry
- No telemetry, no account. The Software has no usage telemetry, does not require an account, and does not upload crash reports, usage data, files or Archive contents. License Keys are verified on your device, with no activation server.
- Update checks. If automatic updates are on (the default for installations that the Software updates itself), the Software contacts our update servers when it starts, if its last successful check was at least 24 hours earlier, and about once every 24 hours while it runs. Each request reveals your IP address and the Edition, version, platform and update channel. Because each Paid Edition build is made for its buyer, update requests and downloads for a Paid Edition also include your license identifier, so our servers can tell which license checked for or downloaded an Update, and from which IP address. Requests never include file names, paths, passwords, Archive contents or usage data. We keep update-server records only for the period stated in our privacy notice, and use them only to deliver Updates, secure the service and apply Section 12. You can switch automatic update checks off and install Updates manually. Installations managed by your operating system's package manager are updated by that package manager instead.
- Purchases. When you buy a Paid Edition, we keep the information needed to issue your License Key, support you, process refunds and meet legal obligations, such as your name, email address, Edition, seat count and transaction records.
- Diagnostics. If you choose to export a diagnostic report and send it to us, we receive what you send. The Software shows the report to you before export.
- Our privacy notice at https://zjx.app/privacy explains what we collect, how long we keep it and how to ask us to delete it. Section 12 explains the license information stored in Paid Edition builds and Archives.
11. License Keys
- Each Paid Edition requires a License Key. License Keys are signed by us and checked on your device.
- Keep your License Key confidential. You are responsible for use of your License Key by anyone you give it to. If your License Key is lost, stolen or exposed, tell us at hello@zjx.app. We will revoke it and, once you confirm that you are the licensee, issue you a replacement License Key and build free of charge.
- Your License Key contains the licensee's name and email address, and your Edition's name and licensee details are shown in the Software (for example, in its About screen).
12. Watermarks, archive certificates and revocation
Please read this Section carefully. It describes information that identifies a license, and through it, you.
- Watermarked builds. Each Paid Edition download is a separate build made for its buyer. It is stamped ("watermarked") with a license identifier, the Edition and, for Mythic, the seat count, from which we can identify the license in our purchase records. The watermark does not contain your name or email address, but your License Key does (Section 11.3). If a copy of a Paid Edition is shared or leaked, the watermark lets us identify the license it came from. Do not share your build.
- Archive certificates. Archives created by a Paid Edition contain a certificate and a digital signature tied to your license. The certificate contains your license identifier, the Edition and the public information needed to check the signature. It does not contain your name or email address. For Mythic, it identifies the Organization's license, not the individual seat holder. Assume that anyone who has the Archive file can read the certificate, even without the Archive's password. Anyone who can read it may be able to tell that the Archive was made with a build issued under a particular license, and we can link that license to you through our purchase records. Consider this before sharing Archives created with a Paid Edition. You may remove the certificate from your own Archives (Section 5.6). Because a signing key is carried in software, a certificate shows only that an Archive was signed by a build issued under that license. It does not prove that the licensee personally created the Archive, and we will not treat a certificate alone as conclusive proof of a breach. A certificate is not a guarantee that the contents are authentic, accurate, safe or lawful, and it is not a qualified electronic signature.
- Basic producer tag. Archives created by Basic may contain an unsigned producer tag recording the Software version and Edition. It does not identify you. Because it is unsigned, it does not prove which software created an Archive.
- Revocation. Updates include a revocation list of License Keys that are no longer valid, including keys that were refunded, charged back, leaked, shared beyond the license, obtained by fraud, or terminated under Section 18. The revocation list identifies keys by license identifier. Once an Update with the revocation list is installed, a revoked key no longer unlocks a Paid Edition. Before revoking a key for sharing beyond the license, we will notify the licensee and allow 14 days to respond, unless the key or build has been published openly or the case involves payment fraud. If we revoke a key whose licensee has not breached this Agreement (for example, because someone else stole or leaked it, or because we revoked it by mistake), we will issue a replacement License Key and build free of charge on request.
- No remote shutdown. The Software has no remote kill switch: a revocation reaches a copy of the Software through Updates, never by switching it off remotely. Revocation never affects anyone's rights under Section 4.
13. Trademarks
"ZJX", ".zjx", the ZJX logo and icons, and "Greyforge Labs" are our trademarks. This Agreement grants no trademark license. You may refer to ZJX by name to describe compatibility with or use of the Software truthfully, provided you do not suggest that we sponsor or endorse you.
14. Updates
- Paid Editions: lifetime updates while the Edition is offered. A Pro, Ultra or Mythic license includes every Update we release for that Edition for as long as we offer it. If we rename, repackage or re-price an Edition, or offer its features under a new Edition name, we treat that as continuing to offer the Edition, and your license continues to include its Updates. "Lifetime" means the life of the Edition, not your life or any fixed period. There is no renewal fee.
- No obligation to develop. We are not obliged to develop or release any Update, new feature or new version, or to keep offering any Edition. If we stop offering an Edition, your license to the versions you already have continues under this Agreement.
- Basic. We may release Updates to Basic on the same terms. Basic installations may install authenticated Updates automatically unless you switch this off.
- What Updates will not do. A routine Update will not reduce the scope of a license you have already obtained, change the Revenue Threshold that applies to you, or add telemetry. Changes to this Agreement are handled under Section 30, not by installing Updates.
- Your choice. Except where a Legend agreement says otherwise, you are not required to install Updates. If you do not install them, you will not receive fixes, security improvements or new features.
- Updates are part of the Software and are governed by this Agreement, unless an Update comes with different terms that you accept under Section 30.
15. Payments, taxes, refunds and reservations
- Payments. Payments for Paid Editions are processed by Stripe, Inc. or another payment provider we name at checkout. We do not receive or store your full card details. The provider's own terms and privacy policy apply to its processing.
- Prices. Prices are shown in US dollars at checkout and are one-time charges per license (per seat for Mythic). Any discount or founding price applies as stated at checkout and in Section 15.7.
- Taxes. Prices do not include sales tax, VAT, GST or similar taxes unless checkout says so. You are responsible for applicable taxes, which we or our payment provider will collect where the law requires. If you are an Organization and are required by law to withhold tax from a payment, you must pay the additional amount needed so that we receive the full price, unless the law does not allow it.
- Invoices. Invoiced Mythic orders are payable within the term stated on the invoice. We may withhold License Keys or Updates for orders that are unpaid when due.
- 30-day money-back guarantee. If you ask within 30 days after your order date (for an invoiced Mythic order, after the date we issue the License Key; for seats added later, after the order for those seats), we will refund the full price you paid for the license or, for Mythic, for the seats you ask to refund. You do not need to give a reason. Email us at hello@zjx.app with your order email address or order number. The guarantee does not apply to a license we ended under Section 18.3 for sharing or leaking a License Key or build, circumventing license checks or payment fraud, except where the law requires a refund. Legend refunds follow your Legend agreement.
- A refund ends the license. When a license is refunded (in full or, for Mythic, for the refunded seats), your license to the refunded Paid Edition ends. You must stop using it and delete the Paid Edition build and License Key, and we will add the key to the revocation list. Your Archives remain yours, Archives you created while licensed remain lawfully created, and you can still open and extract them with Basic. A chargeback or payment reversal is treated as a refund request.
- Founding reservations. Reserving a founding price is free and takes only an email address. It is not a purchase and does not oblige you to buy. When a reserved Edition launches, we will email the reservation address with an offer of that Edition at the founding price shown when you reserved (30% below its launch price), open for at least 30 days from that email. We do not promise a launch date. No license exists until you complete a purchase. You can ask us to remove a reservation at any time.
16. Third-party components and the NOTICE file
- The Software includes open-source components listed in the NOTICE file shipped with each release ("Third-Party Components"). Depending on the Edition and platform, these may include libsodium (ISC License), Zstandard (BSD License), XZ Utils / liblzma (0BSD / public domain), Brotli (MIT License), libarchive (BSD License), components of 7-Zip / p7zip (GNU LGPL, with the unRAR license restriction), and Qt / PySide6 (GNU LGPL).
- Their licenses prevail for those components. Each Third-Party Component is licensed to you under its own license, as identified in the NOTICE file. If anything in this Agreement conflicts with a Third-Party Component's license, that license controls for that component. Nothing in this Agreement restricts rights those licenses give you.
- Where a Third-Party Component's license requires us to make its source code available, or to let you replace the component with a modified version, we do so as described in the NOTICE file.
- The unRAR license restriction stated in the NOTICE file (which forbids using the unRAR code to re-create the RAR compression algorithm) applies to that code.
17. Prior Releases
Prior Releases, including the ZJX 1.29 command-line engine released under PolyForm Noncommercial 1.0.0, remain under the license they were released under. This Agreement does not change your rights to a copy of a Prior Release you obtained under that license. That license does not grant any rights in the Software covered by this Agreement.
18. Term and termination
- Term. This Agreement continues until it ends under this Section. Paid licenses are perpetual unless they end under this Section or Section 15.6.
- You may end it at any time by uninstalling and deleting the Software.
- We may end the license affected by a breach (for example, your Pro license, or your right to create Archives with Basic) by notice if you materially breach this Agreement and do not cure the breach within 30 days after notice. We may end it immediately by notice if the breach cannot be cured, or involves sharing or leaking a License Key or Paid Edition build, circumventing license checks, unauthorized redistribution, or payment fraud.
- Basic eligibility. If you stop being an Eligible User and do not obtain a Commercial License within the period in Section 3.1.5, your right to create Archives with Basic ends. Your rights under Section 4 continue.
- Effect of termination. When your license ends, you must stop using the affected Edition and delete it, and we may revoke your License Key. Termination does not affect your ownership of your Archives, and your rights under Section 4 always continue. Termination does not entitle you to a refund except under Section 15 or where the law requires one.
- Survival. Sections 1, 3.1.5 (last sentence), 4, 5 to 9, 12.2, 12.3, 12.5, 13, 15.6, 16, and 18 to 31 survive termination.
19. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE, ALL UPDATES, EARLY-ACCESS BUILDS, INTEGRITY REPORTS, ARCHIVE CERTIFICATES AND SUPPORT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. GREYFORGE LABS DISCLAIMS ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OR CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, THAT IT WILL ACHIEVE ANY PARTICULAR COMPRESSION RATIO OR SPEED, THAT ARCHIVES WILL BE READABLE BY SOFTWARE OTHER THAN ZJX, THAT ENCRYPTION OR LICENSE PROTECTIONS CANNOT BE DEFEATED, OR THAT DEFECTS WILL BE CORRECTED. BENCHMARK RESULTS WE PUBLISH DESCRIBE THE STATED TEST CONDITIONS ONLY.
THE SOFTWARE IS NOT DESIGNED OR INTENDED FOR USE WHERE ITS FAILURE COULD LEAD TO DEATH, PERSONAL INJURY OR SEVERE PHYSICAL OR ENVIRONMENTAL DAMAGE.
Where a law that applies to you does not allow certain implied warranties to be excluded, the exclusions above apply only to the extent that law permits, and any implied warranty that cannot be excluded is limited to 30 days from purchase where that law allows such a limit. See Section 23.
20. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- IN NO EVENT WILL GREYFORGE LABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, FILES OR ARCHIVES, LOSS OF PROFITS, REVENUE, BUSINESS OR GOODWILL, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY (CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US FOR THE LICENSE TO WHICH THE CLAIM RELATES, AND (B) USD 50. IF YOU USE ONLY FREE EDITIONS OR FREE RIGHTS, OUR TOTAL LIABILITY IS LIMITED TO USD 50.
- THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY ARE AN ESSENTIAL PART OF THE BARGAIN BETWEEN YOU AND US, AND THE SOFTWARE WOULD NOT BE OFFERED ON THESE TERMS WITHOUT THEM.
Nothing in this Agreement limits or excludes liability that cannot be limited or excluded under applicable law, such as liability for fraud, for death or personal injury caused by negligence, or for gross negligence or willful misconduct where the law does not permit such a limitation. See Section 23.
21. Data-loss warning
ZJX is compression and archiving software. It reads, transforms and writes your files. Like any such software, it can fail, and hardware faults, storage errors, interrupted operations, bugs or user error can corrupt or lose data.
You are responsible for keeping independent backups of any data you care about. Before deleting original files, test the Archive (for example with ZJX's test function) and keep a separate copy.
If you create an encrypted Archive and lose its password, the contents cannot be recovered. We have no means to recover passwords or to decrypt your Archives.
22. Export controls and sanctions
- The Software, including its encryption features, is subject to United States export control and economic sanctions laws, including the Export Administration Regulations ("EAR") and regulations administered by the US Treasury Department's Office of Foreign Assets Control, and may be subject to the export and import laws of other countries. The Software contains encryption functionality.
- You confirm that you are not located in, ordinarily resident in, or organized under the laws of any country or region subject to comprehensive US sanctions or embargo (at the date of this version, these include Cuba, Iran, North Korea, and the Crimea, so-called Donetsk People's Republic and so-called Luhansk People's Republic regions of Ukraine), or any other country or region that becomes subject to such sanctions. You also confirm that you are not on, or owned 50% or more or controlled by anyone on, any US government list of prohibited or restricted parties (including the Specially Designated Nationals and Blocked Persons List and the Entity List).
- You will not export, re-export, transfer or use the Software in violation of those laws, including for any prohibited end use (such as weapons of mass destruction), for any military end use or military end user in a country listed in Supplement No. 2 to Part 744 of the EAR, for any end user in Russia or Belarus where US law requires a license, or for any other prohibited end user or destination.
- We may refuse or cancel a sale, or decline to issue a License Key, where we reasonably believe it would violate those laws.
23. Your statutory rights as a consumer
- If you are a consumer, you may have rights under the law of the country where you live that cannot be waived or limited by contract, such as the statutory rights of consumers in the European Union, the United Kingdom, Australia (including the consumer guarantees under the Australian Consumer Law), New Zealand, Canada and elsewhere. Nothing in this Agreement takes away or limits those rights. Sections 19, 20, 24 and 30 apply only to the extent those laws permit.
- Australia. Our goods come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure. Where the Software is not of a kind ordinarily acquired for personal, domestic or household use or consumption, and to the extent section 64A of the Australian Consumer Law permits, our liability for failure to comply with a consumer guarantee (other than a guarantee under sections 51 to 53) is limited to supplying the Software again or paying the cost of having it supplied again.
- European Union and United Kingdom. If you are a consumer in the EU or UK, you have a statutory right to withdraw from a purchase of digital content within 14 days. Our 30-day money-back guarantee in Section 15.5 is in addition to that right and does not reduce it. We will confirm your purchase, including these terms, by email. You also keep your statutory remedies for digital content that is faulty or not as described. These include our obligation to supply the updates, including security updates, needed to keep a Paid Edition in conformity for the period the law requires (Section 14.2 applies subject to that obligation), and your rights if digital content we supply damages your device or other digital content through our lack of reasonable care. If we change a Paid Edition in a way that negatively affects you, other than to keep it in conformity, you have the rights the law gives you, which may include ending the contract and receiving a refund.
24. Governing law and venue
- This Agreement, and any dispute arising out of or relating to it or the Software, is governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods and any version of the Uniform Computer Information Transactions Act do not apply.
- Subject to Sections 24.3 and 24.4, the state courts located in Delaware and the United States District Court for the District of Delaware have exclusive jurisdiction over any dispute arising out of or relating to this Agreement or the Software, and you and we consent to their personal jurisdiction and venue there.
- Consumers. If you are a consumer, the choice of Delaware law does not deprive you of the protection of mandatory provisions of the law of the country or state where you live. You may bring proceedings in the courts named in Section 24.2 or in the courts of the place where you live, and we will bring proceedings against you only in the courts of the place where you live.
- Small claims and urgent relief. Either party may bring an individual claim in a small-claims court where it qualifies. Either party may also seek an injunction or other urgent relief in any court of competent jurisdiction to protect its intellectual property, confidential information or data.
25. US government end users
The Software and its documentation are "commercial products", "commercial computer software" and "commercial computer software documentation" as those terms are used in 48 C.F.R. § 2.101, 48 C.F.R. § 12.212 and 48 C.F.R. § 227.7202. Consistent with those provisions, US Government end users acquire the Software only with the rights set out in this Agreement, which, as a Government Body, means the free rights in Section 4 and any Commercial License they obtain. Any provision of this Agreement that is inconsistent with federal procurement law does not apply to a US Government end user to the extent of that inconsistency.
26. Notices
- Notices to us must be sent by email to hello@zjx.app, or to any other address we publish on zjx.app for legal notices.
- We may send you notices by email to the address associated with your purchase, reservation or License Key, or, for general notices, by posting them on zjx.app or presenting them in the Software.
- Email notices are effective when sent, unless the sender receives a delivery failure.
27. Assignment and transfer
- You may not assign or transfer this Agreement or any license without our prior written consent. Because Paid Edition builds are made for their buyer, an approved transfer is completed by our issuing a new License Key and build to the recipient, after which the transferor must delete theirs. Any other attempted transfer is void. If you are in the European Union or European Economic Area, this Section does not limit any right the law gives you to resell a perpetual Paid Edition license; in that case we will issue the new licensee a License Key and build once you confirm that you have deleted your copy.
- We may assign this Agreement, in whole or part, including to a successor to our business or to the ZJX product line, without your consent. We will give notice of an assignment that affects your rights.
28. Severability and waiver
- If any provision of this Agreement is held invalid or unenforceable, it will be enforced to the maximum extent permissible and changed only as much as needed to make it enforceable, and the rest of this Agreement remains in effect.
- Our failure to enforce any provision is not a waiver of our right to enforce it later.
29. Entire agreement and order of precedence
- This Agreement, together with any order confirmation or Commercial License issued to you, is the entire agreement between you and us about the Software and supersedes all prior understandings on that subject.
- If documents conflict, this order applies (first prevails): (a) a signed Legend agreement or other signed written agreement with us; (b) a written commercial grant under Section 3.4; (c) this Agreement; (d) summaries on zjx.app, including the License terms, Refunds and Privacy pages. Third-Party Component licenses control as stated in Section 16.
- If this Agreement is translated, the English version controls to the extent the law allows.
30. Changes to this Agreement
- We may publish new versions of this Agreement. A new version applies only going forward, to Software versions you obtain or install after it takes effect, and only once you have accepted it.
- Material changes will be presented to you separately (for example, on first launch of an Update) and will not take effect for you without your acceptance. If you decline, you may keep using the version you already have under the terms you accepted.
- No change will reduce the scope of a license you have already purchased (including its Edition, seats, perpetual term, update entitlement while the Edition is offered, or the rights in Section 4), and no change will retroactively alter the eligibility rules under which you created Archives in the past.
- Each version of this Agreement shows its version number and effective date.
